Annotatsiya

This article examines the opportunities and risks of AI-assisted decision-making in the corporate governance of Uzbekistan. The aim is to systematise how artificial intelligence (AI) affects the work of supervisory boards and executive bodies and to develop institutional recommendations suited to national conditions. The study combines a structured literature review, a comparative legal analysis of Uzbek normative acts adopted in 2015–2026, secondary analysis of international indices and official statistics, and an opportunity–risk matrix. The results show that AI can reduce information asymmetry in monitoring, risk management, director nomination, strategic planning and shareholder engagement. Accountability gaps, poor data quality, automation bias and the limited digital competence of board members are assessed as the most severe risks. The article proposes a five-level model of decision rights and a new chapter on AI for the national Corporate Governance Code.
